Fulchir-BCS deal falls through

The recently announced acquisition of BCS Group by Fulchir Group has been canceled. According to Italian financial website Borsa Italia, the conditions for the transaction no longer exist, due to ‘critical issues’ and ‘unpredictable risks’.

The acquisition of BCS by the Fulchir industrial group has suddenly fallen through because, following “thorough due diligence, unforeseeable risks to the company’s business continuity have emerged, such that the conditions for completing the acquisition of the Lombardy-based company no longer exist.”

This decision comes after Fulchir announced on September 11 that it would acquire a stake in BCS Spa, manufacturer of agricultural machinery under the BCS, Ferrari, Pasquali, and Mosa brands. Now the deal is off following “the in-depth analysis conducted upon gaining access to the company,” which reportedly brought to light critical issues “more significant than those initially assessed, making it currently impossible to finalize the transaction.” In particular, according to Fulchir, there is “an overall deterioration of the industrial system, with significant difficulties regarding the availability of components, the continuity of supplies, and the resumption of production processes.” Furthermore, the situation regarding the “supply chain” has proven to be “particularly complex.”

This situation would have entailed “timeframes, costs, and operational risks that were difficult to predict at the outset, in addition to the risk of finding themselves in a position of heavy dependence on certain strategic suppliers, with potentially unsustainable supply terms.” In light of these factors, “which substantially altered the initial assessments of the transaction, and by mutual agreement with BCS, the Fulchir Group deemed it appropriate not to proceed with the completion of the share acquisition, leaving it to the company to continue with the ongoing procedures.”
